AI Chatbot Terms

The following terms and conditions (the "Tether Wallet AI Chatbot Terms") govern your access to, and use of, our chatbot that enables users to make inquiries about the Tether self-custodial wallet application (the "Tether Wallet") and obtain automated responses (the "Tether Wallet AI Chatbot").

These Tether Wallet AI Chatbot Terms supplement, and form part of, the terms of service for tether.io (together with any sub-domains of our website, unless expressly excluded by their own terms and conditions, the "Site"), the current version of which is located at https://tether.io/terms/ (as may be updated in accordance with its terms, the "Site Terms"). These Tether Wallet AI Chatbot Terms form a contract between you, as a user of the Tether Wallet AI Chatbot, and Tether Operations, S.A. de C.V. (referred to herein as "we", "us", "our", and "Tether Operations"), as the provider of the Tether Wallet AI Chatbot. By using the Tether Wallet AI Chatbot, you acknowledge that you have read the following information and accept the terms and conditions set out below and agree to be bound by this document. Capitalized terms used in these Tether Wallet AI Chatbot Terms but not defined have the meanings given to them in the Site Terms.

For clarity, in so far you are accessing, downloading or using the Tether Wallet in connection with your use of the Tether Wallet AI Chatbot, you acknowledge that the Tether Wallet is provided by Tether Data, S.A. de C.V. ("Tether Data") pursuant to and subject to the Tether Wallet Terms of Use, the current version of which is located at: https://wallet.tether.io/application-terms/ (as may be updated in accordance with its terms, the "Wallet Terms").

1.1 Use of the Tether Wallet AI Chatbot: You may use the Tether Wallet AI Chatbot solely in accordance with these Tether Wallet AI Chatbot Terms.

1.2 Changes to the Tether Wallet AI Chatbot: We reserve the right to change or discontinue the Tether Wallet AI Chatbot and change these Tether Wallet AI Chatbot Terms, in each case at any time and without notice. Your continued access to or use of the Tether Wallet AI Chatbot after any changes indicates your acceptance of such changes. It is your responsibility to review these Tether Wallet AI Chatbot Terms regularly.

1.3 Suspension or Revocation of Access: We retain the right, at our sole discretion, to suspend or revoke your access to, or use of, the Tether Wallet AI Chatbot, at any time and for any reason, including for: (i) violation of these Tether Wallet AI Chatbot Terms; (ii) scheduled maintenance or technical issues; or (iii) addressing any security concerns.

2.1 You may only use the Tether Wallet AI Chatbot for information purposes and to troubleshoot any queries with the Tether Wallet and obtain automated customer support in relation to the Tether Wallet. Without limiting the generality of the foregoing, you will not:

1. input any personal information in any of your queries (including, without limitation, your private keys, seed phrases or device access details);
2. solicit any investment, portfolio management, legal, accounting, tax or other advice, or advice on trading techniques, models, algorithms, or any other schemes;
3. access or use the Tether Wallet AI Chatbot in violation of any applicable law;
4. modify, decompile, discover the source code or underlying components of the Tether Wallet AI Chatbot, reverse engineer, or otherwise alter the Tether Wallet AI Chatbot or any of its underlying components;
5. automatically or programmatically extract data or outputs;
6. use the Tether Wallet AI Chatbot responses to develop models that compete with the Tether Wallet or Tether Data;
7. deliberately attempt to prompt the Tether Wallet AI Chatbot into generating responses which may be offensive or cause harm or reputational damage to us;
8. access or use the Tether Wallet AI Chatbot in any manner that may threaten the security or functionality of the Tether Wallet AI Chatbot, the Site or the Tether Wallet (including to introduce viruses which are malicious or technologically harmful); or
9. access or use the Tether Wallet AI Chatbot to circumvent the intended features, functionality or limitations of the Tether Wallet or the Site.

3.1 Responsibility for Your Queries: You acknowledge and agree that you are fully and solely responsible for any data or information that you create or submit through the Tether Wallet AI Chatbot ("your queries"). This includes ensuring that your queries do not violate any applicable law or these Tether Wallet AI Chatbot Terms, and that you have all rights, licences and permissions needed to accept these Tether Wallet AI Chatbot Terms and input your queries into the Tether Wallet AI Chatbot.

3.2 Your Rights to Queries: As between us, and subject to paragraphs 3.3 and 8, you retain your rights in and to all your queries that you submit through the Tether Wallet AI Chatbot.

3.3 Our Right to Use Your Queries: You grant to us an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable licence to access, collect, store and use: (i) your queries; and (ii) any other data, information, records and files that we collect from your usage of Tether Wallet AI Chatbot, including as follows:

1. Develop and Enhance the Tether Wallet AI Chatbot: we may use the information we collect from your queries and from publicly available information to help maintain, develop, train and improve the Tether Wallet AI Chatbot. You acknowledge that all improvements, modifications, upgrades, features, functionality, or derivative works developed by the Tether Wallet AI Chatbot based on your queries shall be and remain the sole and exclusive property of Tether Operations.
2. Collect and Produce Data: we may use the information we collect from your responses to produce data, information or other materials that are not identified as relating to you or any particular individual or company (such data, information and materials, the "Aggregated Statistical Information").

4.1 Disclaimer for Accuracy: The responses provided by the Tether Wallet AI Chatbot are made available solely for general information purposes and Tether Operations and its Associates do not warrant the accuracy, completeness, or usefulness of this information. Users should use responses provided by the Tether Wallet AI Chatbot as a starting point and must verify responses independently. In addition, responses are based on general information and may not consider specific user situations. Due to the nature of the Tether Wallet AI Chatbot, output may not be unique and other users may receive similar output from the Tether Wallet AI Chatbot. You are solely responsible and liable for any and all transactions and other activity conducted through your Tether Wallet, including any transfer, financial, trading, investment or other trading activity executed through the use of your Tether Wallet. The Tether Wallet AI Chatbot does not have access to, or control over, your Tether Wallet, private keys or digital assets.

4.2 Limitations on Responses: You acknowledge and agree that, among other limitations, the Tether Wallet AI Chatbot has been trained on materials made available to it at a certain point in time, and the responses it provides may be based on information which is no longer accurate or up-to-date. You acknowledge and agree that neither Tether Operations nor any of its Associates shall have any obligation, implied or otherwise, to update any material provided to the Tether Wallet AI Chatbot or otherwise to ensure that its responses are current.

4.4 No Reliance: Without limiting paragraphs 4.1 to 4.3 (inclusive), you acknowledge and agree that you shall not rely on any response or output of the Tether Wallet AI Chatbot as the basis for any asset transfer, financial, trading, investment or other decision, and you assume all risk arising from such reliance. Responses may be inaccurate, incomplete, outdated or unsuitable for your particular circumstances, and may not reflect the most current information, policies or developments relating to the Tether Wallet or the Site.

5.1 Tether Operations' Privacy Statement (available at https://tether.io/privacy/) describes how we handle personal information and data that you provide to Tether Operations when using the Site (including the Tether Wallet AI Chatbot). You acknowledge and agree that you have carefully read and understand Tether Operation's Privacy Statement.

Your use of the Tether Wallet AI Chatbot requires the transmission of data and information over the Internet and public networks. Accordingly, we do not, and cannot, guarantee the confidentiality, security or reliability of any communications made by you through the Tether Wallet AI Chatbot.

The Tether Wallet AI Chatbot may interoperate with, collect information from or provide links to information or services provided by third-parties ("Third-Party Services"). Neither Tether Operations or any of its Associates assume any responsibility for any errors or omissions in any such Third-Party Service. You acknowledge and agree that such Third-Party Services may include technical or other mistakes, inaccuracies or errors and that it is your responsibility when using such Third-Party Services to carefully review their terms and conditions, as well as their privacy policy.

All rights (including intellectual property rights), title and interest in and to the Aggregated Statistical Information, Site, Tether Wallet AI Chatbot and all other materials provided by us hereunder, and any update, adaptation, translation, customisation or derivative work thereof, will remain with us (or our third-party suppliers, if applicable). The Tether Wallet AI Chatbot and all materials provided by us hereunder are licensed and not "sold" to you. All rights not expressly granted to you in these Tether Wallet AI Chatbot Terms are reserved.

9.1 Representation and Warranty Regarding Your Queries. You represent and warrant to us that your queries:

1. will only contain data and information in respect of which you have obtained all applicable third-party consents and permissions and otherwise have all authority, in each case as required by applicable laws, to enable us and Tether Operations to make available the Tether Wallet AI Chatbot and exercise our rights under these Tether Wallet AI Chatbot Terms;
2. will not (i) be fraudulent, misleading or deceptive; (ii) infringe on any third-party rights, including the intellectual property rights or rights of publicity or privacy; (iii) introduce to the Tether Wallet AI Chatbot, the Site or any other systems any viruses or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system or data; (iv) intend to, or reasonably have the effect of, manipulating the Tether Wallet AI Chatbot; or (v) otherwise violate any applicable law.

9.3 Indemnity Regarding Your Use of the Tether Wallet AI Chatbot: You will defend, indemnify and hold harmless us and all of our Associates from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties, or other costs or expenses of any kind or nature including reasonable legal and accounting fees arising out of or in connection with: (i) your queries; (ii) your breach of applicable laws or your representations or warranties hereunder; or (iii) your use of the Tether Wallet AI Chatbot contrary to these Tether Wallet AI Chatbot Terms.

9.4 No Representations and Warranties. Neither Tether Operations nor any Associate makes any representations, warranties, covenants or guarantees to you of any kind and, to the extent permitted by applicable laws, we expressly disclaim all representations, warranties, covenants or guarantees, express, implied or statutory, with respect to the Tether Wallet AI Chatbot. The Tether Wallet AI Chatbot is made available strictly on an "as is" and "as available" basis and, without limiting the foregoing, without any representations or warranties regarding merchantability, fitness for a particular purpose, or non-infringement. Tether Operations may also provide access to features or services that are identified as "beta" or pre-release. Without limiting the preceding sentences in this paragraph, you understand that such services are still in development, may have bugs or errors, may be incomplete, may materially change prior to a full commercial launch, or may never be released commercially.

9.5 Acknowledgment of Risk: You acknowledge and agree that the Tether Wallet AI Chatbot Terms reflects a reasonable and fair allocation of risk between you and the other persons referred to herein, having regard to the nature of the Tether Wallet AI Chatbot including the inherent limitation of automated, algorithm-based responses.

10.1 Inconsistencies: In the event of any conflict or inconsistency between these Tether Wallet AI Chatbot Terms, the Site Terms and the Wallet Terms, these Tether Wallet AI Chatbot Terms will prevail to the extent of such conflict or inconsistency in respect of the Tether Wallet AI Chatbot.

10.2 Third Party Rights: To the extent that these Tether Wallet AI Chatbot Terms relate to the Tether Wallet, these Tether Wallet AI Chatbot Terms may be enforced by Tether Data and its successors and assigns. Any Associate may rely on the releases and limitations of liability set out in paragraph 9.2 and may enforce the indemnity set out in paragraph 9.3. Save as set out in the preceding sentences, a person who is not a party to these Tether Wallet AI Chatbot Terms shall have no right to enforce any of its terms.

10.3 Severability: If any provision of these Tether Wallet AI Chatbot Terms or any part thereof, as amended from time to time, is determined to be invalid, void or unenforceable, in whole or in part, by any court of competent jurisdiction, such invalidity, voidness or unenforceability attaches only to such provision to the extent of its invalidity, unenforceability or voidness, as the case may be, and all other terms continue in full force and effect.
